End User License Agreement

Effective: July 25, 2025

1. Parties and Acceptance

This End User License Agreement (“EULA”) is a legal agreement between SmyrnAI Teknoloji A.Ş., a company organized under the laws of Türkiye, with its registered address at Doğuş Caddesi No: 207/Z (Ulusal Adres No: 3186718882) DEÜ Tınaztepe Yerleşkesi B, 35000 İzmir, Türkiye (“SmyrnAI”, “we”, “us”) and the individual or entity that installs or uses the RedenFlow software (“you”). By installing, accessing, or using RedenFlow, you agree to be bound by this EULA.

2. License Grant

Subject to your timely payment of applicable fees (if any) and compliance with this EULA, SmyrnAI grants you a worldwide, non-exclusive, transferable license to install and use the RedenFlow application (“Software”) solely for your own internal purposes, in accordance with your plan:

  • Free: no charge, with feature limits.
  • Pro: One (1) concurrent active device per licensed user.
  • Team: Up to five (5) concurrent active devices per team license.

“Concurrent active device” means devices simultaneously signed in and using the Software. License transfers are permitted, provided that the previous user stops using the Software and the transfer does not exceed the concurrency limit of your plan. You are responsible for all activity under your account and for safeguarding your credentials.

3. Permitted Uses; Outputs

You may use the Software to create, view, and export outputs (e.g., annotations). Unless otherwise stated in a separate written agreement, you own your local outputs and may use them for any lawful purpose. The Software is distributed via smyrnai.co. The Software itself and any included content remain the property of SmyrnAI and its licensors.

4. Acceptable Use and Restrictions

You must not: (a) use the Software in violation of applicable laws or third-party rights; (b) attempt to circumvent plan/device limits or license control mechanisms; (c) provide the Software as a hosted service or resell access to it (unless permitted by a separate written agreement); (d) introduce malware or interfere with the Software’s operation. Reverse engineering is permitted only to the extent allowed by applicable law or by the licenses of open-source components referenced below.

5. Open-Source Components

The Software incorporates open-source software such as YOLO/Ultralytics, PyTorch, PyQt, OpenCV, and Albumentations. Those components are licensed under their respective OSS licenses. Where there is a conflict between this EULA and an OSS license, the OSS license governs for that component. We provide required notices upon request.

6. Updates and Changes

We may provide automatic updates, bug fixes, or feature changes from time to time. Updates are part of the Software and subject to this EULA. We may modify or discontinue features at any time, provided that such changes do not materially reduce core functionality during a paid subscription term unless required by law or for security reasons.

7. Support

We aim to provide reasonable support and maintenance (e.g., automatic updates and bug fixes). Unless otherwise agreed in writing, support is provided on a commercially reasonable, “as available” basis and is not guaranteed to achieve any specific result.

8. Fees, Taxes, and Refunds

Plan pricing: Free (no charge) and Pro (USD 59/month or USD 499/year). Team licences are available by arrangement; contact us for terms. Unless mandated by law, fees are non-refundable. We may provide discretionary refunds for extraordinary circumstances. You are responsible for taxes and any applicable payment processor fees, if not included in the listed price.

9. Term, Expiry, and Termination

This EULA becomes effective upon your installation or use of the Software and continues until terminated. Your license terminates automatically upon subscription expiry or non-payment. We may suspend or terminate your license for material breach (e.g., device-limit circumvention, illegal use) after written notice if the breach is not cured. Upon termination or expiry, you must stop using the Software. Your locally stored data remains on your device; we do not host your datasets. Sections that by their nature should survive (e.g., ownership, disclaimers, liability, governing law) will survive termination.

10. Ownership

SmyrnAI and its licensors own all rights, title, and interest in and to the Software, including all intellectual property rights, except for your local outputs and the OSS components under their respective licenses.

11. Disclaimer of Warranties

Except as expressly stated, the Software is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties; to that extent, these exclusions may not apply.

12. Limitation of Liability

To the maximum extent permitted by law, SmyrnAI and its affiliates, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Software, even if advised of the possibility of such damages. SmyrnAI’s aggregate liability for all claims arising out of or relating to this EULA shall not exceed the amounts paid by you to SmyrnAI for the Software in the twelve (12) months preceding the event giving rise to the claim.

13. Governing Law and Venue

This EULA is governed by the laws of the Republic of Türkiye, without regard to conflict-of-law rules. The courts and enforcement offices of İzmir, Türkiye, shall have exclusive jurisdiction and venue for any disputes arising out of or relating to this EULA, subject to any mandatory arbitration or consumer protection laws that apply to you.

14. Export Compliance

You must comply with all applicable export control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or entity subject to comprehensive sanctions.

15. Enterprise Agreements

If you have a separately executed written agreement with SmyrnAI (e.g., an Enterprise or Master Services Agreement), that agreement governs to the extent of any conflict with this EULA.

16. Miscellaneous

This EULA constitutes the entire agreement between you and SmyrnAI regarding the Software. If any provision is held invalid, the remainder remains in effect. We may update this EULA from time to time; material changes will be notified via in-app notice, newsletter, or other reasonable means. Your continued use after the effective date of changes constitutes acceptance.
